Legal Effect of these Terms

These terms and conditions form an integral part of any Sale based on Internet Pricing. Any contract made by and between the parties must incorporate these terms and conditions. Terms inconsistent with those stated herein which appear on PURCHASER’S Purchase Order shall not be binding on SELLER. Any resulting Purchase Order is subject to acceptance by SELLER and shall constitute a binding agreement between PURCHASER and SELLER only when thereafter approved and signed by an authorized officer of SELLER.

Prices

Prices are based on Payment in Advance using most economical payment method. A premium charge may apply for special payment methods. Refer to Payment Methods Table for payment options.

In some cases, Buyer may apply to Seller for further discounts for volume purchases.

Internet Prices exclude taxes, duties, import fees and shipping costs. Price, title and risk of loss FOB our warehouse. 

All prices are in US Dollars.

Shipping

Unless otherwise indicated, freight is excluded from pricing.  If you prefer, we will ship on your account using your preferred shipping method.  Or Buyer may provide shipping arrangements for factory pickup. 

Returns

Payment Terms

Payment is due upon order unless other arrangements have been approved in advance in writing. Check, Visa, MasterCard, Discover and American Express credit cards, Wire Transfer and PayPal are accepted.

Payment by check may delay shipment of your order.

Standard Parts

Payments are due upon order unless other arrangements have been approved in advance in writing.

Custom Items, Fabricated Components and Special Orders

Custom items and fabricated components such as chamber, baffle and water cooling sections require payment in advance or, with approval, fifty percent (50%) upon receipt of order as authorization to proceed, and the balance to release for shipment. Orders for custom or fabricated items cannot be cancelled or returned for any reason except if the part is defective or does not materially conform to the accepted order.

Payment Method Options

Seller will accept orders with payment methods according to size of payment as indicated by the Payment Methods table.

            no - not accepted for payment size.

*Payment Size is net amount to be received by Seller in each single payment.

**If wire transfer is accepted, Buyer must wire the full invoice amount and pay all sending bank and transfer fees. Seller's bank must receive full invoice amount as Seller pays all receiving bank fees separately.

Other Terms

Warranty

SELLER’S warrants all electrical and mechanical components to be free from defects in materials and workmanship for sixty (60) days after shipment. If the equipment fails to conform to any of the above warranties, SELLER shall at its option repair or replace any component which is defective. This warranty does not cover field service nor does it apply to damage caused by ordinary wear and tear, corrosion, misuse, or faulty repair, or installation labor. In no event shall SELLER'S liability hereunder exceed the cost of fixing or replacing the parts which are the subject of the warranty, and upon expiration of the applicable period shall end. SELLER’S WARRANTY WILL BE STRICTLY LIMITED TO THE PERFORMANCE SET FORTH HEREIN. THERE ARE NO OTHER WARRANTIES, EXPRESS, STATUTORY OR IMPLIED, INCLUDING THOSE OF MERCHANTABILITY AND OF FITNESS FOR PARTICULAR PURPOSE, NOR ANY AFFIRMATION OF FACT NOR REPRESENTATION WHICH EXTENDS BEYOND THE DESCRIPTION OF THE FACE HEREOF.

Indemnification

BUYER shall be liable for and hereby agrees to indemnify and hold SELLER, its officers, directors, agents and employees harmless from and against all liabilities, claims, damages, losses, costs and expenses (including reasonable attorney and court expenses) for all injuries or death of any person, damage to any property resulting from or caused by, directly or indirectly, BUYER’s negligent or improper installation, operation or maintenance of any components purchased hereunder.

Limit of Liability

IN NO EVENT SHALL SELLER BE LIABLE IN CONTRACT, WARRANTY, TORT OR OTHERWISE FOR ANY CONSEQUENTIAL, SPECIAL, EXEMPLARY OR INCIDENTAL DAMAGES NOR FOR ANY LOSS OF PRODUCTION OR OTHER LOSSES. The aggregate amount of SELLER’S liability to BUYER on any and all claims for loss or liability, whether based upon warranty, negligence, or otherwise, shall in no case exceed the amount paid by BUYER to SELLER. BUYER'S EXCLUSIVE REMEDY IS ENFORCING THE REPLACEMENT RIGHTS HEREIN.
